Last Episode
On the last episode of Y&R, Victoria dug for information on Billy from Ashley, while Victor asked Nate how he’d run SNA Media.
Chancellor Park
Mariah asks Tessa to tell her it’ll be ok. She says whatever their daughter needs, they’ll do it, and they’ll face any issues that arise.
Tessa says their baby will have whatever she needs.
Elena walks into the park and says hello. She sees the concern on Tessa and Mariah’s face.
Tessa tells Elena they just had a meeting with the pediatrician, who gave them some upsetting news.
Crimson Lights
Esther and Chloe are sitting at a table, and Sharon joins them.
Esther says she hoped to see Aria and asks how she is.
Sharon says she’s good, feisty, and wonderful, and Mariah and Tessa are settling into becoming parents.
Esther says she’s really excited to be hired as the new manager at Crimson Lights.
Chloe worries her mom will be too busy working two jobs.
Esther reassures Chloe it’s only part-time at Chancellor-Winters. She says the new job is perfect for her.
Sharon tells Esther to come up with a schedule that works for her, and they’ll fit her in.
Nick walks into the cafe and greets the trio. He asks to speak to Sharon alone for a minute.
The Newman Ranch House
Victor says he’s started the process of merging Newman with SNA.
Nikki is surprised that he’s doing it after discovering that Adam blackmailed Audra for the same thing. She asks why Victor is giving in.
Victor says he wants to merge the two companies and thinks it’s the right time.
Nikki asks how Adam responded to it.
Victor says Adam thinks that he has ulterior motives.
Nikki says Adam’s right to wonder what Victor is up to.
Society
Adam enters the restaurant and approaches Nate. He asks why Nate met with Victor the night before.
Nate says he’s COO of the company with the Newman name on it, and Victor wanted to talk.
Adam asks what they talked about… Specifically.
Nate says Adam should ask his father.
Adam doesn’t take that well. He asks Nate what was the topic of conversation and what the hell is he up to?
Nate says that his private conversations with Victor are just that… Private.
Adam says that Victor decided to merge SNA with Newman Media after Nate met with him.
Nate says that’s what Adam wanted. He congratulates him on the win.
Adam wonders how Nate figures into it. He says Nick doesn’t trust Nate.
Nate smirks and says that’s funny… Adam and Nick finally agree, but they don’t trust him. He says they couldn’t put together a solid business plan.
Adam says Nate’s ingratiated himself with Victor by telling him the brothers are doing a poor job.
Nate says Victor came to him and wanted his take on how things were progressing with SNA.
Adam says Nate must have been eager to give his opinion on it.
Nate says he’s the COO of Newman Enterprises; of course he made it his business to know where things stand.
Adam asks what they talked about.
Nate told Victor that folding SNA into Newman Media was a smart move.
Adam says he was right all along.
Nate says Adam was right, but he used a scandal as blackmail to damage the business and was willing to risk burning everything down to get what he wanted. He says Nate should have fired Adam a while ago, but instead, he’s given him the prize of Newman Media on a silver platter.
The Newman Ranch House
Nikki asks Victor what made him change his mind.
Victor says it was his plan all along to create a media powerhouse.
Nikki asks how Nate figured into it.
Victor says that Nate had impressed him with his analysis of Kirsten and McCall, and Nate made him realize that those companies needed some guidance, and the merger was a clear choice.
Nikki asks who is going to run the company.
Victor says he’s not sure yet, but he’s setting the company up for success.
Nikki thinks Victor’s adding a wildcard into the mix; Nate is too ambitious. She asks what Victoria thinks of it.
Victor says he hasn’t had a chance to talk with Victoria; she’s in an emergency meeting in L.A.
Nikki asks if Victor will wait until Victoria returns to get her opinion.
Victor says he’s moving forward. The merger will occur, and when Victoria returns from L.A., there will be a new dynamic at Newman Media.
Crimson Lights
Sharon asks Nick if Victor’s done anything yet.
Nick says he doesn’t know of anything.
Sharon says Adam was right… Victor had plans for their company. She says she hung onto Kirsten because she wanted to do something with it, and with Victor gutting it, there won’t be much left.
Nick says they can fight Victor.
Sharon says that Victor has all his bases covered, and she noticed he said that SNA will fold into Newman Media. She says it doesn’t sound like a merger, but Newman Media will simply absorb SNA.df
Nick wonders if they’ll be answering to Adam soon.
Society
Adam tells Nate he’s making enemies left & right.
Nate says he can’t influence Victor; even if he could, Adam’s getting what he wants.
Adam receives a text from Nick. He wants to meet at Adam’s place right away.
Adam tells Nate that something is going on and he will find out what’s happening. He leaves.
Nate makes a call and leaves a voicemail. He says Victor is merging SNA with Newman Media and asks if they knew this was coming.
Chancellor Park
Tessa and Mariah tell Elena how Aria had slept through the thunder and didn’t seem to react to their voices.
They explain that they had a hearing test done, and the doctor told them that Aria might have severe hearing loss. The doctor said it might be easily treatable, but it might not be, and it could be permanent.
Elena says that a specialist will get them a full diagnosis, and there are probably a lot of treatments.
Mariah and Tessa look worried.
Crimson Lights
Sharon tells Nick not to jump to conclusions; Victor kept Adam around for the investors.
Nick says they don’t know what Victor’s planning… He keeps giving Adam breaks and then taking the opportunity away from him.
Sharon says they need to see the plan that Victor has before they can know for sure how it’s going to go.
Nick says that Adam is probably gunning for the CEO position, and this will fuel his worst instincts.
Sharon hopes Nick is wrong.
Adam’s Apartment
There’s a knock at Adam’s door. He opens it, and is surprised to see Sally there.
Sally asks if it’s a bad time for her to drop by.
Adam says it’s fine and invites her in. He asks what’s on her mind.
Sally says she’s been thinking about Adam’s offer, but she has to talk with Nick first. She has some questions.
Crimson Lights
Sharon gives Esther a list, including contact information for maintenance and other needed information to run the cafe. She asks if Esther has any questions.
Esther reassures Sharon that she’s got it under control.
Nick says he has no doubt.
Esther tells Sharon to go enjoy skiing. She waves at Nick and Sharon as they leave. She asks Chloe whether it’d be too much if she got a plaque that said, “Esther Valentine – Manager.”
Chloe laughs and says she’s too much. She asks if Esther wants her to decorate the coffee shop.
Esther says they can’t change the coffee shop, it’s perfect the way it is.
Chloe says she’s happy for her mom. She hugs her.
Esther says she loves Chloe.
The Genoa City Athletic Club
Nate enters the restaurant and sits down to talk with Audra.
Audra asks Nate to start with the good news… If there is any.
Nate says it’s not official, but Victor has decided to fold SNA into Newman Media.
Audra says she wanted to hear good news for her.
Nate says Newman Media will be a much larger company.
Audra says she won’t be running that much larger company, though.
Nate says that Audra has exceeded expectations in her role, and the numbers speak for themselves.
Audra says the Newmans aren’t talking about her; they’re in it for themselves. She says Adam blackmailed her and tried to force her to make the merger happen.
Nate says Adam endangered the company when he did that.
Audra says Victor was angry that Adam went against him, but now he’s giving into Adam’s demands. She doesn’t think it’s fair.
Nate says she doesn’t know what Victor is thinking or how it will end.
Adam’s Apartment
Sally tells Adam that he’s getting what he wanted… The two companies will merge. Victor is just showing that he’s still in control.
Adam says it’s smart business but doesn’t trust Victor’s motives. He’s cautiously optimistic but happy that Sally wants to be part of it. He says Nate’s been making inroads with his dad, and there are too many cooks in the kitchen.
Sally asks what Adam means.
Adam says he intends to have Sally beside him when he runs the company.
Sally figured that Adam, Sharon, and Nick would run the company together.
Adam says that would never work, and Victor knows it. He’s not calling it a merger, he wants to fold SNA into Newman Media and make it a powerhouse.
Adam tells Sally that there needs to be a single leader who built the company from the ground up. It’s Adam’s company and should have never been taken away.
There’s a knock at the door. Nick calls out that he’s there with Sharon.

Chancellor Park
Tessa asks Elena if she’s on a break.
Elena says she’s finished for the day; she picked up a shift for a colleague.
Mariah and Tessa can’t believe Elena has done another all-nighter. They thank Elena and Mariah asks how Elena has been.
Elena says she’s been working a lot and has taken on a lot of extra shifts lately.
Tessa says they’re worried about her.
Mariah asks if she’s working so hard to take her mind off of Nate.
Elena says work is the only thing that hasn’t disappointed her lately.
Tessa and Mariah both tell Elena that she has friends.
The GCAC
Audra tells Nate she doesn’t want to lose her position at Newman Media.
Nate says he won’t let that happen.
Audra says she’s up against Victor’s sons. How can she believe Nate will win against that?
Nate says Adam’s actions haven’t inspired confidence.
Audra says that Victor wants the whole Newman family working together.
Nate says it’s possible that Audra will stay as CEO, but she needs to prove to him that she’s worth keeping.
Audra says she’s not going to wait and hope for the best. Adam’s relentlessly gone after what he wanted and knew how far he could push. She thinks Victor might respect Adam deep down.
Nate asks what Audra’s thinking.
Audra says she likes her job and the lifestyle it affords her, and it’s time she fights for it. She leaves the restaurant.
Adam’s Apartment
Adam invites Nick and Sharon in.
Nick sees Sally and asks what’s happening.
Sally says that Adam offered her a job at their new company, and there were things that Sally needed to discuss with him before she told Nick about it.
Nick says that Adam made another decision without consulting him or Sharon.
Sharon asks what job Adam offered Sally.
Sally says Adam never told her what the position was, and that’s one of the things that she needed to discuss with him.
Nick says Sally would be an incredible hire, but Adam should have run this by his partners first.
Sharon tells Sally she’d be getting into a mess working with Adam.
Adam says they had a conversation… What’s the problem?
Nick says Adam isn’t in charge.
Sally says that they all have more important things to discuss… She’ll leave. She asks Nick if he’s mad she didn’t tell him sooner.
Nick says he would have liked her to run it by him first, but he understands she didn’t want him to influence her decision.
Sally says Nick knows her well. She says she had to clarify how things would work between her and Adam.
Nick gets it, but Adam will say whatever Sally wants to hear.
Sally says she’s not naive.
Nick says they’ll meet up later. They kiss, and Sally leaves.
Adam says they should talk about how to make things work going forward.
Sharon says it’s not working as it is.
Nick says Sharon took the words out of his mouth.
Adam says they’re all in agreement. Since Newman Media is the big player, it’s only natural that he takes charge.
The Newman Ranch House
Audra walks in and says hello to Victor and Nikki.
Victor asks her to sit, and Nikki asks Audra why she asked to meet.
Audra says she heard a rumor about SNA and Newman Media.
Victor says nothing’s been determined yet.
Nikki says information is being shared on a need-to-know basis.
Audra says that the CEO should be privy to some information. She recounts how Newman Media’s profits were up 17% because of her influence.
Victor shows he’s on top of it. “17.4%”
She says she’s been an effective leader and will continue to be one, and she’ll deliver results no matter what they decide.
Nikki asks how Audra found out about this.
Audra says that Adam confronted Nate, and he thinks Nate & Victor are orchestrating a power play. She asks if she’s going to be out of a job.
Chancellor Park
Elena says she’s grateful to have Tessa and Mariah as friends. She was a bit of a mess after the breakup, but she’s doing better now. She says her work fulfills her.
Mariah says that burnout isn’t a joke and wants Elena to be aware of it.
Elena says she knows, and she’s gotten rid of all her stress… Nate’s completely out of her system.
Tessa says they’re there for her if she ever needs to talk or vent.
Elena thanks them and asks to be kept informed of what the specialist says. She leaves the park.
Mariah says it’s time they tell Sharon about Aria.
Adam’s Apartment
Nick asks Adam how he could possibly think he’s the best choice to run Newman Media on his own. He says the plan was to merge the two companies.
Sharon corrects Nick. “Three companies.” She reminds Adam that she still owns Kirsten Inc.
Adam says she’s already agreed to the merger. He’s giving them a vision for success.
Sharon says Adam seems to think he’s owed the position because he was pushed out of Newman Media.
Adam says he’s just being logical.
Nick snorts and says Adam is incapable of being logical because his ego is too big.
Adam says that Victor will strip Kirsten down to its bare essentials, and there won’t be much left of the original.
Sharon says nothing’s been decided and not to underestimate her resolve.
Adam says Sharon will be a part of the company no matter what… Does it matter what her title is?
Nick says it allows a person to make good decisions and to stop people from making bad decisions.
Adam says it’s not a merger. Newman Media is taking over SNA, and there’s nobody who knows Newman Media better than he does.
Nick says Adam’s plan all along was to regain Newman Media and drag him and Sharon along for the ride.
The Newman Ranch House
Victor tells Audra it’s very “brazen” of her to walk in and make demands.
Audra says it wasn’t her intention. She just wanted to know where she stood.
Victor says it showed guts.
Nikki says it showed something.
Victor says he was impressed by how Audra managed her position as CEO. He says he wouldn’t be a good businessman if he let her go, so she’ll find herself having a position at Newman.
Audra appreciates his faith in her. She’ll continue to give everything to the job.
Nikki snarkily says that’s what they pay her for.
Victor says he’ll keep Audra in the loop on his decision.
Audra leaves.
Nikki tells Victor that Audra is as driven and ambitious as Nate.
Victor says he knows… He kind of likes it.
Nikki says he’ll like it until it becomes a problem.
Society
Chloe finishes up a call as Sally walks into the restaurant and sits down with her.
Sally asks Chloe how Chelsea is.
Chloe says Chelsea’s good. She asks if they’re celebrating… Did Sally get the job?
Sally says it’s not a “specific” job.
Chloe says it’s going to happen. She’s so glad and was feeling guilty that she took the job as Chelsea’s #2 while she is away with Connor.
Sally says it’s fine; she’s happy for Chloe.
Chloe asks Sally to tell her everything… Is Nick thrilled Sally will be working for him?
Sally says Nick wasn’t happy she didn’t tell him about it immediately, and everything is more complicated than she hoped.
Crimson Lights
Esther tells Mariah and Tessa she’s happy they stopped by… She was telling Sharon how much she wanted to see the baby.
Mariah asks if Sharon is in.
Esther says Sharon just left with Nick. She comes over and fawns over Aria.
Tessa asks if Esther’s started working already.
Esther loudly proclaims she’s officially the new manager of Crimson Lights.
The baby starts crying, and Esther says, “Oh, me and my big mouth!”
Mariah and Tessa look startled and happy.
Esther apologizes for scaring the baby.
Mariah says it’s alright… The baby’s fine. She turns to Tessa and says, “She’s fine!”
The Newman Ranch House
Victor tells Nikki that Audra has proven very useful to the company and she’s withstood Adam’s threats.
Nikki says Audra only came to Victor when she was out of options.
Victor admires the way she did it. Maybe Audra is the one he should be mentoring.
Nikki asks if Victor is kidding.
Victor tells Nikki to imagine what he could do if he could channel Audra’s drive and ambition.
Nikki says Victor can never trust Audra or Nate. They don’t need mentoring; they need a short leash.
The GCAC
Audra enters the restaurant smiling and sits down with Nate. She says she was hoping he’d still be there.
Nate says he had a meeting with some division heads, and it was very productive. He asks what Audra’s been up to.
Audra tells Nate she met with Victor and asked him what the merger meant for her future with the company.
She says that Victor praised her work and guaranteed her that there would be a position for her at Newman, no matter how things went.
Nate laughs and says he didn’t think he could be any more impressed with Audra. He says she’s got something extra… Grit.
Elena walks into the club and sees Nate and Audra talking.
Adam’s Apartment
Sharon says things will work out if they stick to their original plan of being co-CEOs of the company.
Nick says Sharon is right. Adam needs to work with them.
Adam asks why they’d want to work together… He’s only been a source of irritation to them both.
Nick says Adam’s got to let go of the past and stop feeling like he has something to prove. He tells Adam to keep his ambition in check, or he’ll destroy everything they want to accomplish.
Next Week on The Young and the Restless
Sharon asks Nick if they should back out of the deal… They’ll be free of Newman, free of Victor, and free of Adam.
Mariah and Tessa talk with a doctor. The doctor says Aria’s condition is treatable, but there’s no cure.
Diane saves Ashley’s life, and Ashley can’t believe it.
